Details Procedure for Filing Form INC-7 for Registration

eForm INC-7 is most important form to complete Company Registration in India and Form INC-7 is required to be filed in accordance with Section 7 (1) of the Companies Act, 2013 and in accordance with some of the rules of Companies (Incorporation) Rules, 2014.
Companies (Incorporation) Rules, 2014 provides procedure for filing and documents to be attached with form 7 for efiling for Company Formation. For Company incorporation as per section 7 (1) of companies act e-form shall be filed with Registrar of Company under which jurisdiction Company’s registered office will be established.

Further Section 7 (1) provides that:-
  1. Memorandum & Articles of Association shall be signed by all the subscribers of MOA & AOA in the manner prescribed (i.e. as per Companies (Incorporation) Rules)
  2. A declaration by Advocate or Chartered Accountant or Company Secretary or cost accountant in practice and who is engage himself in the formation of such company. (i.e. in form INC-8)
  3. An affidavit from every subscribed of Memorandum and Articles of Association  that he has not convicted any offence or has not found guilty of any fraud to any company under companies act, 2013 or under any provision of companies act, 1956. (i.e. in Form INC-9)
  4. Particulars of the interest and consent from each first director of the proposed company. (i.e. in Form DIR-2)
  5. Verification of Photo and Signature of the Subscribers of Memorandum & Articles of Association by Notary Public or Banker. (i.e. in form INC-10)

Company Registration procedure will be completed with filing of form INC-7, INC-22 and DIR-12.
