Company Registration in form of One Person Company Registration:

Recently Ministry of corporate affairs has extended the form of company in form of One Person Company Registration and Company (incorporation) Rule, 2014 has laid down the rules for one Person Company Registration and its rules and laws.

Following are the important facts about one person company registration:-

1.       Only a human being who is resident and citizen of India can incorporate a One Person Company and can become a nominee of a one person company.

2.       A Person can incorporate only a one person Company and cannot become nominee in more than one such one person company.

3.       Minor can’t become a member or nominee of a One Person Company or hold share with beneficial interest

4.       No One Person Company can be Incorporated or converted under section 8 of the Companies Act, 2013.

5.       One Person Company can’t run NBFC Activity.

6.       One Person company can’t converted into any type of company under two year has been expired from the date n Incorporation except paid up share capital has been exceeds 50 Lakhs rupees.

 

 

Memorandum and Articles of Association of a One Person company almost same as of Private Limited Company. OPC registration procedure is almost same as private limited company registration with some differences.
