Procedure for Company Incorporation as per Section 7 of Companies Act 2013

There need to file with the Regional Registrar of Companies within whose jurisdiction the Proposed registered office of the proposed company is to be situated and following are the documents and information for registration such as:-

  1. The MOA and AOA of the company must be duly signed by all the subscribers of memorandum and Article of Association in such manner as prescribed by Companies (Incorporation) Rule 2014.
  2. For Company Registration either Private Limited Company Formation or Public Limited Company registration there need a declaration in Form INC-8 by an advocate or chartered accountant or company secretary or cost accountant in practice one who is indulge in formation of the company or by a person whose name mentioned in articles as a director or manager or secretary of proposed company.
  3. An affidavit from every subscribers of memorandum in Form INC-9 and from such persons named as first director if any in the articles that he is not involved in or convicted of any offense in relation with the promotion or formation or management of any other company or such first director has not been found guilty of any misfeasance or fraud or of any breach of his duty in connection with any company under Companies Act during the last five years and that all the documents are correct and complete which has been filed with the Registrar for registration of the company.
