Company
Registration under section 25 now called Section 8 Company under New Companies
Act, 2013. Section 8 Company Formation is almost same as Private limitedcompany registration with some additional form. One of the most important
aspect for Section 8 Company Incorporation is to get approval from Regional
Director by filing an online application in Form RD-1. For Registration of
Section 8 Company, during filing of Form RD-1 there required following document:-
1.
Memorandum of Association (MOA)
in from INC-13 prepared in accordance to Rule 19(2) of Companies
(Incorporation) Rules, 2014
2.
Articles of Association (AOA)
3. Declaration by Chartered
Accountant or advocate or cost accountant or company secretary in Form INC-14
prepared in accordance to Section 7 (1)(b) and rule 19 (3)(b) that for
Formation of Section 8 Company, Memorandum and Articles of Association has been
prepared in conformity with Section 8 of the Companies Act, 2013
4.
Form INC-12 i.e. Application
for Grant of License under Section 8 of Companies Act, 2013
5. Statements of Assets and
Liabilities
The most
important thing that need to understand before company registration as Section
8 Company is ground of Application must be charitable purpose or with the object
of promotion of arts, science, commerce, sports, education protection of
environment etc.
