One Person Company (OPC) Registration: Proprietorship Business going to another level, as the new Recognition system will come into force from 14th April.
Ministry of
Corporate Affairs (MCA) brings the concept of One Person Company (OPC) by the
Companies Act, 2013. One Person Company is legal form of proprietorship firm. As we all know previously proprietorship firm
has no legal status until there is service tax registration or DVAT
registration and don’t have a certificate to represent legal status of
proprietorship firm. Now One Person Company (OPC) is defined under Section 3 of
Companies Act, 2013 but Memorandum of One Person Company (OPC) should indicate
name of other person who will become member in case of Subscribers death or
incapacity with prior consent. i.e. subscribers should register Nominee in
prescribed form. One Person Company (OPC) registration process is just like
private limited company registration with few different procedures. Nominee can be changed any time by subscribers
of OPC by filing prescribed form with ROC. Form for One Person Company (OPC) Registration
will be available from 14th April 2014. The New E-Form for OPC
